Mark L. Friedman (60)


Mr. Friedman's background as a securities and corporate finance lawyer led to his equity investing career. After graduating from the University of Pennsylvania Law School in 1973, Mr. Friedman practiced corporate and securities law at several national law firms. He joined Shea & Gould in 1978, became a partner in 1982, and served as a member of the Management Committee.

At Shea & Gould (1978-1992), Mr. Friedman primarily represented a number of major investment banking firms in both financing and merger and acquisition projects, including Bear Stearns, Alex Brown, Drexel Burnham, and Goldman Sachs. He was recognized in the New York legal/business community as an expert in public and private funding.

In 1986, Mr. Friedman, as counsel and one of five principals, helped structure a leveraged buyout of Checker Motors Corporation, generally considered one of the most successful buyouts in U.S. history (135x in three years). In 1992, Mr. Friedman founded RCL Capital Partners, Inc., a merchant banking and investment advisory firm, with three colleagues from the New York investment and business community. RCL was instrumental, among other projects, in organizing the purchase of substantial equity positions in Allied Digital Technologies (a cassette and CD replication company) (AMEX) and Disc Graphics (a specialty packaging company) (NASDAQ), both of which were subsequently sold (Allied Digital Technologies to Citicorp Venture Capital and Disc Graphics to Main Street Resources, a buy-out firm.

In addition to sponsored transactions during the 1980s and the 1990s, Mr. Friedman made a number of private company investments. He also served as director of several publicly traded NASDAQ companies including AcaJoe (sports apparel) and Enchanted Village (educational toys), as well as of Allied Digital. He also served as a director and Chairman of the Audit Committee of Disc Graphics from 1995-2002.

In 2001, Mr. Friedman became a Managing Partner of Constellation Investment Partners LLC a Florida based merchant-banking and special investment firm.

In 2003, Mr. Friedman co-founded OnForce, Inc. (www.onforce.com) an online marketplace for onsite technology and electronic services. OnForce has exhibited spectacular growth and has received the backing of several highly regarded investment funds. It has over 12,000 registered technicians with coverage in every U.S. zip code; it counts as clients a number of Fortune 1000 corporations. OnForce is now expanding into Canada.

In 2007, Mr. Friedman was elected to the Board of Directors of Rodman & Renshaw Capital Group, a New York based investment banking firm (NASDAQ:RODM), where he also serves as Chairman of the Compensation Committee and as a member of the Executive Committee.

Mr. Friedman was educated at the University of Pennsylvania. He received a B.A. in History in 1970 (Magna Cum Laude) and a J.D. in 1973 (Cum Laude). He was elected to Phi Beta Kappa and served as Articles Editor of the University of Pennsylvania Law Review.
